Clients are responsible for providing accurate, complete, and timely information necessary for the delivery of services. Clients must actively participate in the consulting process and implement recommendations in good faith. Failure to fulfill these responsibilities may impact the outcomes achieved.
Clients are responsible for the decisions made based on our advice and for the implementation of any recommendations provided.
We maintain strict confidentiality regarding all client information and business matters. All information shared during consulting engagements will be kept confidential and will not be disclosed to third parties without explicit written consent, except where required by law.
Clients are also expected to maintain confidentiality regarding our proprietary methodologies, frameworks, and materials.
Payment terms are specified in individual service agreements. Invoices must be paid within the agreed timeframe. Late payments may incur interest charges and may result in suspension of services. All fees are non-refundable unless otherwise specified in writing.
Prices are subject to change with reasonable notice. Any changes will not affect existing signed agreements.
Either party may terminate a consulting engagement with written notice as specified in the service agreement. Upon termination, the client remains responsible for payment of all fees for services rendered up to the termination date. Any prepaid fees for services not yet delivered may be subject to cancellation fees as outlined in the service agreement.
We reserve the right to terminate services immediately if a client breaches these terms or engages in behavior that is detrimental to our business or reputation.
To the fullest extent permitted by applicable law, Expertise India Connect shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.
Our total liability arising out of or related to any service agreement shall not exceed the total fees paid by the client for the specific services giving rise to the liability.
Our services are provided on an "as is" and "as available" basis. We make no warranties, expressed or implied, regarding the outcomes or results that may be achieved through our consulting services. While we strive to provide expert guidance based on industry best practices, we cannot guarantee specific business results.
We do not warrant that our services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.
You agree to indemnify, defend, and hold harmless Expertise India Connect and our subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms of Use or your violation of any law or the rights of a third party.
These Terms of Use and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.
In the event of any dispute or claim arising out of or relating to these Terms of Use or our services, the parties agree to first attempt to resolve the dispute through good faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, the parties may pursue mediation before resorting to litigation.
We reserve the right to modify these Terms of Use at any time. Changes will be effective immediately upon posting to the website.
